01Agreement to terms
These Terms & Conditions govern your use of the EKSNEKS website (www.eksneks.com) and the engagement of our services. EKSNEKS is operated by EDGENOVA LLC, a registered Limited Liability Company providing software engineering and digital services. 02Services
We provide software engineering, web development, AI & automation, cloud & DevOps, technical consulting and website maintenance services. The specific scope, deliverables, timeline and price of any engagement are defined in a written proposal and/or Statement of Work agreed before development begins.
03Quotes & payments
Every project is quoted individually in writing. Payments are tied to milestones defined in the proposal, typically a deposit followed by staged payments on delivery. Accepted payment methods: bank transfer, Wise, and Stripe where available. An invoice from EDGENOVA LLC is issued for every payment.
04Client obligations
Clients agree to provide timely access to the materials, credentials and feedback reasonably required to deliver the agreed work, and to review and approve milestone deliveries within the review period defined in the proposal.
05Intellectual property
Upon receipt of final payment, full ownership of the project-specific source code, documentation and deliverables transfers to the client, unless the proposal states otherwise. We retain ownership of pre-existing tools, libraries and know-how used to deliver the work, which are licensed to the client for the delivered system.
06Warranty & support
Each project includes a warranty window, defined in the proposal, during which defects in delivered work are corrected at no cost. Ongoing support and maintenance beyond the warranty are available under separate written agreements with defined response times.
07Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising from any engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential damages, including lost profits or data, except where caused by willful misconduct or gross negligence.
08Confidentiality
Both parties agree to keep confidential information received from the other party confidential and to use it only for the purposes of the engagement. Non-disclosure agreements are available and routinely signed before sensitive information is shared.
09Termination
Either party may terminate an engagement in writing. Upon termination, the client pays for work completed up to the termination date, and receives the deliverables corresponding to the paid milestones. See the Cancellation Policy for details.
10Governing law
These terms are governed by the laws of the jurisdiction in which EDGENOVA LLC is registered. Disputes are first addressed through good-faith negotiation before any formal proceedings. [Jurisdiction details to be completed with legal counsel.]
